Terms & Conditions – Telecom Infrastructure Solutions

These terms outline the standard service, commercial, safety, and compliance conditions applicable to telecom infrastructure solutions provided by Sai Enterprises.

1. Definitions

  • "Company" refers to the telecom infrastructure service provider.
  • "Client" refers to the customer availing services.
  • "Services" include telecom infrastructure setup, IBS/DAS installation, RF surveys, repeater installation, structured cabling, tower solutions, maintenance, and related activities.

2. Scope of Work

  • The Company shall provide services strictly as per the approved quotation, proposal, or agreement.
  • Any additional work outside the agreed scope will be treated as extra work and charged separately.
  • Modifications requested after project approval may affect project timelines and cost.

3. Project Timeline

  • Estimated timelines are shared based on current project requirements and site conditions.
  • Delays caused due to client approvals, site unavailability, power or network issues, government permissions, material shortages, or force majeure conditions shall not be considered the Company's responsibility.

4. Payment Terms

  • Advance payment is mandatory before project initiation.
  • Remaining payment shall be made as per agreed milestones or invoice schedule.
  • Delay in payment may result in work suspension, delay in delivery, or additional late payment charges.
  • All taxes applicable by law shall be borne by the Client.

5. Material & Equipment

  • All supplied equipment or material remains the property of the Company until full payment is received.
  • Product specifications may vary slightly depending on market availability and technical feasibility.
  • Third-party equipment warranties shall be governed by the respective manufacturer policies.

6. Site Readiness & Client Responsibility

  • The Client shall ensure proper site access and permissions, availability of electrical power, safety clearance for installation, structural readiness for equipment installation, and required approvals from building or local authorities.
  • Any delay due to incomplete site readiness may impact delivery timelines.

7. Warranty & Support

  • Installation workmanship warranty shall be valid as per agreed contract period.
  • Warranty does not cover physical damage, water or fire damage, unauthorized modifications, power fluctuations, natural disasters, or third-party tampering.
  • AMC or support services will be provided only if included in the agreement.

8. Safety & Compliance

  • The Company follows standard telecom and safety guidelines during execution.
  • Client must provide a safe working environment at the site.
  • Necessary statutory permissions and approvals from local authorities shall be the Client's responsibility unless specifically mentioned otherwise.

9. Testing & Acceptance

  • Upon completion, the Client shall inspect and verify the work.
  • If no written objection is received within 7 days of completion, the project shall be considered accepted.

10. Cancellation Policy

  • Advance payments are non-refundable once project work, procurement, or resource allocation has started.
  • Cancellation after material procurement may attract additional charges.

11. Confidentiality

  • Both parties agree to maintain confidentiality of technical, commercial, and project-related information.
  • Project details shall not be shared with third parties without written consent.

12. Limitation of Liability

  • The Company shall not be liable for indirect, incidental, or consequential losses including business interruption, data loss, or revenue loss.
  • Maximum liability shall be limited to the amount paid for the specific service or project.

13. Force Majeure

  • The Company shall not be held responsible for delays or failure caused by natural disasters, government restrictions, strikes, pandemic situations, transport disruptions, war, or civil disturbances.

14. Intellectual Property

  • All designs, layouts, technical drawings, and documentation created by the Company remain intellectual property of the Company unless otherwise agreed in writing.

15. Governing Law

  • All disputes shall be subject to the jurisdiction of the local courts of Pune or as mutually agreed between both parties.

16. General Terms

  • Verbal commitments shall not be considered valid unless documented in writing.
  • The Company reserves the right to update terms and policies without prior notice.
  • Acceptance of quotation or work order implies acceptance of these terms and conditions.
